Interview with Digital Eclipse about the first title in their Gold Master series.

Earlier this year at the ID@Xbox Showcase event, Digital Eclipse announced their Gold Master Series, a collection of interactive documentaries wrapped in video game format that celebrate key designers, studios, and games that changed the world. The first Gold Master Series title, The Making of Karateka, is out today, and chronicles how a teenage college student with a computer created one of the most groundbreaking, influential games of all time.

DE tweeted out that they’ve been purchased by Atari. They’re claiming that they will not be bound to the Atari IP. Atari got a ****ing steal I’d say. I’ve talked with several on the team about the way the industry is heading and this just reaffirms my position. They had an IPO not too long ago to fund projects and stay independent and now this. It’s a necessary evil but it’s a worrying trend.

The purchase price of Digital Eclipse will consist of an initial consideration of US$6.5 million payable at the closing of the acquisition, of which (i) US$4.0 million in cash1 and (ii) US$2.5 million in newly issued Atari ordinary shares2, as well as a remaining earn-out of up to $13.5 million, payable in cash over the next ten years based on future performance of Digital Eclipse.

It is expected that the acquisition of Digital Eclipse will be completed in the coming days.

In addition to the cash consideration, Atari will also acquire a portion of the shares in Digital Eclipse directly and the purchase price of such shares corresponding to US$2.5 million (€2.4 million) will be paid by way of set-off against the issuance of newly issued Atari SA shares3.

The reserved capital increase will result in the issuance of 20,165,794 new Atari shares. As a result, Digital Eclipse shareholders will together hold upon completion of the capital increase 4.6% of Atari’s share capital4. The determination of the number of Atari shares to be issued is based on the 20-day volume weighted average price of Atari shares on Euronext Growth Paris until the signing date of the purchase agreement of €0.1169, in accordance with the terms of the delegation to the board of directors.

The majority of Digital Eclipse shareholders, holding in aggregate approximately 95% of Digital Eclipse capital, have agreed to a 1-year lock-up on their Atari shares as from the Closing of the acquisition.

Also Heyadol there is a physical Karateka planned. I had thought they originally partnered with iAm8bit but Frost reaffirmed yesterday that it’s coming and it’s with LRG.

Not thrilled about the trend of consolidation, but DE has really been on a roll lately. If Atari money keeps them going and they retain some independence then it sounds like a win. Totally forgot Atari also acquired Nightdive Studios earlier this year, someone at Atari is making some good decisions.

Atari has announced that it has acquired the Intellivision brand along with the rights to over 200 games in a move that, according to Digital Eclipse's studio head Mike Mika, "ends the longest-running console war in history".

As a result, Intellivision Entertainment LLC will rebrand and will continue its work on developing and distributing the Amico brand game console (Atari keenly dodged that one). Atari, meanwhile, will license out new versions of the Intellivision games for the Amico.

The press release goes on to state that "Atari will seek to expand digital and physical distribution of legacy Intellivision games, potentially create new games, and explore brand and licensing opportunities as part of a long-term plan to create value from the Intellivision properties".

Atari's CEO Wade Rosen states that the acquisition "was a very rare opportunity to unite former competitors and bring together fans of Atari, Intellivision and the golden age of gaming".

To mark the acquisition, Atari has released Intellivision-branded t-shirts via its online store, so you know it's officially official.

Why don’t they list the games instead of saying 15+ versions? It looks like most of them are from classic Nintendo platforms but will we get Sega’s arcade version or the infamous Tengen Tetris? Would be kind of interesting since Tengen was an Atari subsidiary as is Digital Eclipse, maybe it’s too much heartburn for Nintendo.

If you're a Tetris fan, it's impossible not to be excited for Digital Eclipse's third Gold Master Series title, Tetris Forever. And the retro specialists are continuing to sweeten the deal on this fantastic interactive digital museum, which launches on 12th November.

Two more games have been confirmed to be included in Tetris Forever, and they're both extremely early releases of the classic block puzzle. Both the AcademySoft and the Spectrum HoloByte versions of Tetris, released on the MS-DOS, will be a part of the package.

Digital Eclipse's editorial director Chris Kohler shared on Twitter (now known as X) that "a lot of work went into being able to make this simple announcement". As some fans have noted, many previous Digital Eclipse collections haven't included MS-DOS games, so this is a big deal. And it's been a "dream" of the studio for a while, too.

The AcademySoft version of Tetris for MS-DOS is the one programmed by Alexey and Vadim Gerasimov, while the Spectrum Holobyte version is the first commercial version of Tetris.
