I got the Mill Creek copy for a $1 ages ago and haven't watched it yet... do I upgrade?

Probably not worth it. The movie’s fine but unless you love it, why upgrade?

I think you should watch the Mill Creek version that you have; it won't impact the resale value significantly, and you can decide if it's worth upgrading. It's a good movie if you like Ron Shelton, solid 3 out of 5 stars and maybe 3.5; Banderas and Harrelson have good chemistry. I'd say that if it's Kino, it will likely go on sale for under $10 within six months of release.
