Iron Man has yellow in his armor, therefore automatically Iron Man wins, and easily at that.

Oh, and he has that too

Of course if Tony knows in advance that he'll fight GL and knows his weakness (that's always the excuse for Batman, am I rite?) then Tony comes with this

and it's game over, man. Game over. GL goes home to cry in a bowl of (non yellow) cereals.

Actually the only Green lantern that isn't vulnerable to the color yellow is Kyle Rayner. SO....Green Lantern wins.

Are we going by individual GL members? I'd say the fight would be between the most popular/well-known incarnation of the two characters.

Seriously? I like Iron Man quite a bit now thanks to Iron Man 1 & 2 and Avengers but ANY of the Green Lanterns would take him apart. Just use the ring to crush him with his own armor, end of story.
