Because it was a sale. Disney brought Fox, dropped some weight and like magic it was done. All of this stuff is illegal according to Anti-trust laws. Well it was illegal in the 80's when certain people did not get kick backs.

Example a couple of companies wanted to build a Casino in Pittsburgh. They were told it would be agreed upon if the Penguins got kick backs to build a stadium. That is illegal, unless the City Governments says it is not.

Didn't I say this kinda monopoly was illegal earlier? Okay, then what is Discovery spending money on then? Because everyone is saying it's a merger, but you are giving me something different.

It is a merger on paper.

It is like if we are playing Monopoly and you and I team up to wipe out the other players. Then I take 71% of the earnings at the end of the game.

It is a shady back alley business deal.

There are three companies here:

WarnerMedia
Discovery
WarnerMedia/Discovery

Each is a separate company with a CEO at the top. Each are public companies owned by stockholders.

WarnerMedia/Discovery will be owned by AT&T who will have a 71% stake and Discovery who will hold a 29% stake. The current CEO of Discovery will vacate that position and become the CEO of WarnerMedia/Discovery.

WarnerMedia's executives will probably be replaced. This includes Jason Kilar and Ann Sarnoff.

Though AT&T owns 71% of the new company they will no longer be involved in making any decisions. They, through their stockholders are simply a part owner.

Is Vanguard their number one? See, you're proving my point. Lee is bringing up numbers like 51%, yet no shareholder alone at AT&T has that much. So who really owns WarnerMedia?
