Lucas bought Episode IV from Fox years ago. Fox has distribution rights but doesn't own any of the films.

IIRC Lucas sold 20th Century Fox the distribution for the prequels in return for them selling him the rights to Star Wars Episode IV or something like that...

Has merchandising been discussed yet? Does Lucas retain all of that or is that part of the LFL package? What about the subsidiary companies?

I still want to see proof of any such terms. And Disney gets everything, merchandising rights, ILM, and LucasArts games.

It was always from unnamed sources, nothing official. Here's an article from the L.A. Times in April of 1998:

I too thought that Lucas had finagled the rights to the original film some time ago, but in light of the Disney deal most places are saying that Fox still own it outright.

As octagon pointed out earlier, there's a difference between having the distribution rights to the films (which FOX has with Episodes I-VI) and actually owning them. Disney will now own the films thanks to this acquisition and they can prevent FOX from distributing them again without their approval. All they really have to do is buy the distribution rights back (if FOX is willing to sell them, that is).

I think most people understand that. It's still unconfirmed whether Fox owns Ep IV outright or not however. Even if they don't, they have distribution rights till 2020 for the saga, so Disney can't do anything without their permission, and I doubt Fox is just going to sell off their distribution rights as there's still plenty of money to be made from them

Does anyone remember when "Red Tails" came out, that George Lucas said - specifically - that this was going to be "as close to Star Wars Episode VII" as we'd ever get..?

I wonder what happened sine then...?

And if you ask him about that, he'll probably say, "yes, but that was just the first half of my sentence..."

Ah, so Lucas probably did get the rights to the film itself - i.e. it's solely his as far as the intellectual property is concerned - but the distribution deal with Fox is permanent. As was alluded to in the LA Times article above, Lucas went to Fox and said "I'll let you distribute the prequels as long as you give me the original Star Wars", yet they still managed to cover their asses with the perpetual distribution rights.

Lucas probably felt it was a minor point in the grand scheme of things - much like those Fox execs signing over the sequel & merchandising rights back in the day - but it might just prove to be a thorn in LucasDisney's side come 2020.
